These Terms of Service (“Terms”) govern your use of the website https://www.medialabtech.com (the “Site”) and the digital advertising management services provided by Media Lab Technologies (“MLT,” “we,” “us,” or “our”), including tools that connect to the Google Ads API (“Services”). By using the Site or engaging MLT for Services, you agree to these Terms.

1. Description of Services

MLT provides digital advertising management services, which may include setting up, managing, optimizing, and reporting on advertising campaigns on platforms such as Google Ads, on behalf of clients who authorize us to do so.

2. Account Access and Authorization

To provide Services, clients grant MLT authorized access to their advertising accounts (e.g., by linking their Google Ads account to our manager account). Clients are responsible for ensuring they have the right to grant this access and for the accuracy of any information or account access they provide. Clients may revoke MLT’s access to their advertising accounts at any time.

3. Client Responsibilities

Clients are responsible for:

  • Providing accurate business, billing, and account information
  • Ensuring their advertising content and offers comply with applicable laws and the policies of the advertising platforms used
  • Maintaining sufficient funds in their advertising accounts to cover ad spend, which is separate from and in addition to any fees owed to MLT

4. Fees and Payment

Fees for Services are as agreed between MLT and the client in a separate service agreement, proposal, or invoice. Advertising spend paid directly to the advertising platform (e.g., Google Ads) is separate from, and not included in, fees paid to MLT.

5. No Guarantee of Results

MLT will use professional efforts to manage and optimize advertising campaigns, but does not guarantee specific results, rankings, traffic, conversions, or return on advertising spend. Advertising platform performance depends on many factors outside MLT’s control.

6. Intellectual Property

The Site and its content, unless otherwise noted, are the property of MLT. Clients retain ownership of their own brand assets, ad content, and account data.

7. Disclaimer of Warranties

The Site and Services are provided “as is” without warranties of any kind, express or implied, to the fullest extent permitted by law.

8. Limitation of Liability

To the fullest extent permitted by law, MLT shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or advertising spend, arising from use of the Site or Services.

9. Termination

Either party may terminate Services as agreed in the applicable service agreement, or, absent such an agreement, with reasonable written notice. MLT may suspend or discontinue access to the Site at any time.

10. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles, regardless of the user’s or client’s location.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date.
